Newsmatics Acceptable Use Policy

This Acceptable Use Policy ("AUP") is incorporated by reference into and shall be governed by Our General Terms and Conditions1 (“Terms”) and any applicable Service Agreements, DMCA Policy2Privacy Policy3, or other binding Company documents (collectively, "Our Agreements") adopted by Newsmatics Inc. ("Company", "We", "Us", or "Our"). Capitalized terms not defined herein shall have the meaning ascribed to them in Our Agreements.

By accessing or using any of Our Services or web sites, You ("You", "Your", or "User") expressly agree to comply with this AUP. If You do not agree to be bound by this AUP, You are expressly prohibited from using any of Our Services or web sites, and must immediately discontinue all use.

1. Prohibited Conduct

You agree that You shall not, under any circumstances, directly or indirectly, access, use, enable use of, or allow any third party to access or use any Company Service or web site in any manner that, in Our sole discretion:

  1. Violates any applicable local, state, national, or international law, regulation, or judicial or administrative order;

  2. Violates any provision of this AUP, the Terms, or any other of Our Agreements;

  3. Engages in any conduct or submits any content that is illegal, tortious, defamatory, libelous, obscene, harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory, discriminatory, hateful, or otherwise objectionable;

  4. Engages in the unauthorized collection or harvesting of personal data, contact details, login credentials, or other user information by any means, including but not limited to bots, spiders, or other automated tools;

  5. Uploads or transmits malware, viruses, Trojan horses, keyloggers, spyware, ransomware, or any other malicious code or device designed to disrupt, interfere with, damage, or limit the functionality of any software, hardware, data, or telecommunications equipment;

  6. Attempts to access or reverse engineer any part of Our Services or web sites or any systems, networks, or technologies used to provide or support them, except as explicitly permitted under applicable law and with Our advance written consent;

  7. Circumvents, disables, or otherwise interferes with any security-related features of the Services or web sites or any features that enforce usage limitations or access controls;

  8. Attempts to probe, scan, or test the vulnerability of Our Services, infrastructure, or related systems or networks, or breach any authentication or security measures;

  9. Interferes with, disrupts, or imposes an unreasonable load or burden on Our Services, systems, networks, or infrastructure, including through denial-of-service attacks or abusive automated usage;

  10. Engages in scraping, data mining, data harvesting, or any similar activity intended to collect or compile content or data from the Services or web sites without Our advance written authorization;

  11. Submits any false, misleading, or fraudulent information, impersonates another person or entity, or misrepresents Your affiliation or authority;

  12. Uses Our Services to transmit spam, bulk solicitations, phishing content, promotional materials, or other forms of unauthorized advertising or solicitation;

  13. Uploads, publishes, or disseminates any content, press release, submission, comment, or Contribution that infringes the intellectual property rights, publicity rights, or privacy rights of any third party;

  14. Promotes or enables any activity in violation of the Digital Millennium Copyright Act (DMCA), the Communications Decency Act (CDA), export control laws, sanctions regulations, or other applicable U.S. or international legal regimes;

  15. Attempts to access or use Our Services or web sites for the purpose of monitoring their availability, performance, or functionality for any competitive purpose, including in connection with the provision of services that compete with those of Company;

  16. Fails to cooperate with Company’s investigation of any suspected violation of this AUP or Our Agreements;

  17. Attempts to resell, sublicense, lease, assign, or transfer Your Account, Paid Account, access credentials, or any rights granted to You under Our Agreements without Our advance written authorization.

2. Enforcement and Remedies

The Company reserves the sole and exclusive right, but not the obligation, to monitor use of its Services and web sites, and to investigate any conduct or content that it deems in violation of this AUP, the Terms, or any of Our Agreements. In the event of any actual or suspected violation, Company may, in its sole discretion and without limitation, do one or more of the following:

  1. Terminate, suspend, or restrict Your access to any or all of the Services or web sites;

  2. Remove, block, or disable access to any content, Submission, Contribution, or data submitted or made available by You;

  3. Report You to law enforcement, regulatory bodies, or affected third parties, and cooperate with their investigations;

  4. Initiate legal proceedings for injunctive relief or monetary damages;

  5. Seek to recover from You any and all damages, costs, expenses, or losses incurred by Company as a result of Your conduct, including but not limited to reasonable attorneys’ fees;

  6. Exercise any other rights or remedies available under applicable law or Our Agreements.

3. No Waiver of Company Rights

The Company’s failure to enforce this AUP in any instance shall not constitute a waiver of its right to enforce it in any other instance. No waiver shall be effective unless in writing and executed by an officer of the Company.

4. Modifications

The Company reserves the right to amend or modify this AUP at any time in its sole discretion. The current version of this AUP will be made available at the footer of Our web sites. All changes are effective immediately upon publication. Your continued use of the Services or web sites following any such changes constitutes Your express acceptance of the modified AUP.

5. Precedence of Terms in Conflicts

In the event of conflict or inconsistency between the provisions of this AUP and Our Terms, the provisions of Our Terms shall take precedence.
